These Terms of Service ("Terms") govern your access to and use of the Your Poker software application and related services (collectively, the "Service") provided by Two High Studio ("Company", "we", "us", or "our"), a company registered in the Isle of Man.

Please read these Terms carefully before using the Service. By downloading, installing, accessing, or using Your Poker, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not use the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or otherwise using the Your Poker application, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and the terms "you" and "your" shall refer to that organisation.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the application. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

Your Poker is a desktop poker tournament management application designed for home games, leagues, and live poker events. The Service provides tools for:

  • Creating and managing poker tournament structures, including blind levels, antes, and break schedules
  • Tracking player registrations, seating assignments, and table balancing
  • Managing tournament clocks and timers
  • Recording results, prize pool calculations, and payout distributions
  • Maintaining player statistics and league standings over multiple sessions
  • Displaying tournament information on connected screens and devices

The Service is provided as a desktop application that stores data locally on your device. Certain features may require an internet connection for licence validation, software updates, and optional cloud synchronisation.

3. Licence Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Your Poker application on compatible devices that you own or control, solely for your personal or internal business purposes.

3.1 Licence Tiers

The Service is offered under the following licence tiers:

Free Tier

  • Basic tournament management features
  • Limited number of concurrent tournaments
  • Core timer and blind structure functionality
  • Local data storage only
  • No time limitation on use

Pro Tier

  • All Free tier features
  • Unlimited concurrent tournaments
  • Advanced statistics and reporting
  • Custom branding and theme options
  • League management and season tracking
  • Priority email support
  • Licensed per user on a monthly or annual subscription basis

Max Tier

  • All Pro tier features
  • Multi-screen display support
  • Advanced player seating algorithms
  • Tournament series management
  • Data export in multiple formats
  • API access for third-party integrations
  • Priority support with dedicated response times
  • Licensed per user on a monthly or annual subscription basis

3.2 Licence Restrictions

You shall not:

  • Copy, modify, distribute, sell, lease, sublicence, or otherwise transfer the application or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the application
  • Use the application for any unlawful purpose or in violation of any applicable laws or regulations
  • Use the application to facilitate illegal gambling or any activity that violates the gambling laws of your jurisdiction
  • Circumvent, disable, or interfere with any security or licence validation features of the application
  • Share your licence credentials or allow multiple users to use a single-user licence

4. User Obligations

As a user of the Service, you agree to:

  • Provide accurate and complete information when creating an account or purchasing a licence
  • Maintain the confidentiality of your account credentials and licence keys
  • Accept responsibility for all activities that occur under your account
  • Use the Service in compliance with all applicable local, national, and international laws and regulations
  • Ensure that your use of the Service for poker tournament management complies with the gambling and gaming laws of your jurisdiction
  • Not use the Service to facilitate real-money gambling unless you hold all necessary licences and permits required by applicable law
  • Keep the application updated to the latest available version to ensure security and compatibility
  • Maintain adequate backups of your tournament data, as we are not responsible for data loss on your local device

5. Payment and Billing

If you purchase a Pro or Max licence:

  • You agree to pay all fees associated with your selected licence tier
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen billing cycle
  • All fees are quoted and payable in the currency specified at the point of purchase
  • We reserve the right to change our fees upon reasonable notice; changes will take effect at the start of your next billing cycle
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • Refunds are provided in accordance with applicable consumer protection laws; generally, we do not offer refunds for partial billing periods
  • If payment fails, we may suspend access to paid features until payment is successfully processed

6. Intellectual Property

The Service, including but not limited to the software application, its source code, object code, design, graphics, user interface, documentation, and all related intellectual property, is and shall remain the exclusive property of Two High Studio and its licensors.

These Terms do not grant you any rights to our trademarks, service marks, trade names, logos, or other brand features. You may not use any of our intellectual property without our prior written consent.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without obligation or compensation to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://yourpoker.app/privacy/. The Privacy Policy explains how we collect, use, and protect your personal data.

Tournament data created through the application is stored locally on your device. You retain ownership of the data you create using the Service. We do not access, collect, or store your tournament data unless you explicitly opt into cloud synchronisation features.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED

You acknowledge that the Service is a tournament management tool and that all decisions regarding tournament operations, including but not limited to prize distributions, player disputes, and rule enforcement, remain your sole responsibility.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TWO HIGH STUDIO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY ERRORS, MISTAKES, OR INACCURACIES IN THE SERVICE
  • ANY UNAUTHORISED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN
  • ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED POUNDS STERLING (GBP 100), WHICHEVER IS GREATER.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Two High Studio and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any rights of a third party
  • Any tournament or event you organise or manage using the Service

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

  • Your licence to use the Service will immediately cease
  • You must uninstall and destroy all copies of the application in your possession
  • Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability
  • Your locally stored data will remain on your device; we have no obligation to maintain or provide access to your data

You may terminate your use of the Service at any time by uninstalling the application and, if applicable, cancelling your subscription.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Isle of Man, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of the Isle of Man.

Notwithstanding the foregoing, nothing in this section shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Two High Studio regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, or failure of third-party services.
